Thermo Fisher said Clario’s platform is complementary to its own clinical research offerings, and expands its digital and data capabilities.

The addition also strengthens Thermo Fisher’s use of artificial intelligence in clinical research and data analysis.

Thermo Fisher expects the synergies of the combination to offer a double-digit internal rate of return, and said that it should be immediately accretive to adjusted operating margin.

As well as the $8.88 billion cash consideration, Thermo Fisher has agreed to pay $125 million in January 2027, and then up to $400 million of earn-out payments based on the performance of the business in 2026 and 2027.
